The U.S. leveraged loan market has grown exponentially since the end of the Great Recession, rising from approximately $500 billion in loan volume in 2010 to nearly $1.2 trillion in 2020. Years of historically low interest rates, combined with record levels of investor cash chasing yield, have contributed to the leveraged loan boom, resulting in unprecedented access to financing for borrowers and the erosion of traditional lender protection in loan documentation. These factors have contributed to an environment where borrowers, investors and their advisors have creatively navigated loan documentation to pursue liquidity enhancing transactions, at times to the detriment of incumbent but non-participating investors. Some of these transactions have been characterized as "lender-on-lender" violence, and have led to high profile litigation.
